Terms of Service

These Terms of Service ("Terms") govern your access to and use of KeyPort ("Service"), operated by KeyPort ("we," "us," or "our"), a software product currently operated as a sole proprietorship based in Gujarat, India. By accessing or using KeyPort, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing the Service, or using any part of the KeyPort platform including app.keyport.sbs, api.keyport.sbs, customer.keyport.sbs, or any associated API, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

KeyPort is a software-as-a-service (SaaS) platform that provides license key management infrastructure for software developers. The Service includes:

  • License key generation and management
  • License validation API
  • IP-based access control systems
  • Customer portal for end-users
  • Developer dashboard and analytics
  • Webhook delivery systems
  • Team and organization management

KeyPort provides the infrastructure. You are responsible for how you use that infrastructure to manage your own software products and customers.

3. Eligibility

You must have the legal capacity to enter into a binding contract under applicable law. If you are a minor, you may only use the Service with the involvement and consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

To use the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Keep your account credentials confidential
  • Notify us immediately at email@keyport.sbs of any unauthorized access to your account
  • Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain inaccurate, fraudulent, or misleading information.

5. Plans, Pricing, and Billing

5.1 Plans

KeyPort offers Free, Pro, and Enterprise plans. Features and limits associated with each plan are described on keyport.sbs/pricing and may be updated from time to time.

5.2 Free Plan

The Free plan is provided at no charge and may be used indefinitely subject to these Terms. We reserve the right to modify or discontinue the Free plan with 30 days notice.

5.3 Pro Plan

The Pro plan is billed monthly at $7.99/month. Current pricing information and plan features are available on our pricing page. Billing is processed through our payment provider Dodo Payments. By subscribing to the Pro plan, you authorize recurring monthly charges.

5.3.1 Merchant of Record

For transactions processed through Dodo Payments, Dodo Payments acts as the Merchant of Record on our behalf. This means Dodo Payments processes the payment transaction, charges the customer, and may appear on receipts, invoices, or billing descriptors. KeyPort remains responsible for providing the software service, access to the platform, and related product support.

5.4 Enterprise Plan

The Enterprise plan is billed monthly at $19.99/month through Dodo Payments recurring checkout. Enterprise includes unlimited organization limits, while admin overrides may still apply for specific account enforcement.

5.5 Billing Cycle and Subscription Status

For paid plan subscribers: if a recurring payment fails or the subscription period expires without renewal, the organization will be immediately auto-downgraded to the Free plan. Paid-plan features (such as webhooks, signed responses, or custom API responses) will be disabled upon downgrade, and Free tier limits will be strictly enforced.

5.6 Billing Management and Payment Processing

Use the billing management portal to cancel or change your paid subscription where available. If you need help, contact us at email@keyport.sbs. Payments are processed by Dodo Payments; we do not directly store full card details on our systems. We receive only the metadata and payment status required to manage your subscription.

5.7 Account Suspension

We may suspend your account or access to the Service without prior notice if you fail to pay applicable fees, violate these Terms or our Acceptable Use Policy, or if your use poses a security, legal, or operational risk. During suspension, access to the Service may be limited or disabled. Suspension does not relieve you of payment obligations where applicable.

5.8 Taxes

All prices are exclusive of applicable taxes. You are responsible for all taxes, duties, or levies applicable under Indian law including GST where applicable, or the laws of your jurisdiction.

6. Refunds and Cancellations

Summary: You may request a full refund within 24 hours of a charge without providing a reason. Outside that 24-hour window, refunds are only provided where required by law or expressly approved by KeyPort. Cancellations take effect at the end of the current billing period unless otherwise stated.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy at keyport.sbs/legal/aup. You must not use the Service to:

  • Violate any applicable law or regulation in India or internationally
  • Distribute malware, spyware, ransomware, or any harmful software
  • Manage licenses for software designed to cause harm
  • Engage in any activity that could damage, disable, or impair the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to facilitate illegal copying or distribution of software
  • Violate the intellectual property rights of any third party
  • Create fake or fraudulent license keys with intent to defraud

We reserve the right to suspend or terminate accounts found in violation without prior notice.

8. Intellectual Property

8.1 Our Property

The Service, including all software, design, text, graphics, logos, and documentation, is owned by KeyPort and protected under applicable Indian intellectual property laws including the Copyright Act, 1957 and the Information Technology Act, 2000. All rights not expressly granted are reserved.

8.2 Your Property

You retain ownership of all data you upload to the Service, including your license configurations, customer data, and product information. By uploading data, you grant us a limited license to store and process that data solely to provide the Service.

8.3 License to Use Service

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

9. Data and Privacy

Our collection and use of your personal information is governed by our Privacy Policy at keyport.sbs/legal/privacy. By using the Service, you consent to the data practices described there.

10. Confidentiality

Any non-public information you share with us in the course of using the Service, including business information, technical data, or customer lists, will be treated as confidential and not disclosed to third parties except as required to provide the Service or as required by law.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

KeyPort does not guarantee that license validation will prevent all unauthorized use of your software. The Service provides an API-based validation mechanism, and we are not responsible for unauthorized use that circumvents or bypasses that mechanism.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KEYPORT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE PERIOD PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless KeyPort and its operators, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third party rights.

14. Termination

14.1 By You

You may terminate your account at any time by contacting us at email@keyport.sbs. Termination does not entitle you to a refund of any prepaid fees except where required by applicable law.

14.2 By Us

We may suspend or terminate your account and access to the Service immediately, without prior notice, if we determine you have violated these Terms, engaged in fraudulent activity, or if continued service poses a risk to us, other users, or third parties.

Upon termination, your right to use the Service ceases immediately. Your data may be retained for up to 30 days after termination before deletion.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019 where applicable. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.

We encourage resolution of disputes through good-faith negotiation. Contact us first at email@keyport.sbs before initiating any legal proceedings.

16. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes by email or notice on the Service. Continued use after changes constitutes acceptance.

While we typically aim to provide reasonable prior notice (at least 7 days where practicable) for material updates, some changes including those related to security, abuse prevention, legal requirements, or new product features may apply immediately at our discretion. On any changes, we will notify you via email or a notification in your organization dashboard.
